DOPAMINE LLC – TERMS & CONDITIONS FOR BRANDS

These Terms and Conditions (“Agreement”) govern the use of the Dopamineloyalty platform (“Services”) provided by Dopamine , operating & registered asMASS Ventures LLC (Trade License # 2538697.01) in the United Arab Emirates, with its registered office at SHARJAH MEDIA CITY (“Dopamine”, “we”, or “us”), by the entity or business accepting this Agreement (“Brand” or “you”). By
clicking “I Accept” or using the Services, you agree to be legally bound by this Agreement.
1. Services
Dopamine provides Brands with access to a digital loyalty platform, enabling the creation, management, and tracking of customer loyalty programs, engagement campaigns, and program analytics. Features may vary based on the subscription plan selected.
2. Brand Responsibilities
You are solely responsible for:
1. Fulfillment of all rewards offered through your loyalty program.
2. Providing accurate business information and maintaining compliance with UAE and local laws.
3. Ensuring your use of the Services does not violate any law, regulation, or third-party rights.
You acknowledge that Dopamine is a technology provider only and does not issue rewards, handle redemptions, or interact with your customers directly. Any disputes, complaints, or claims from end customers are your responsibility.
3. Fees and Payment
1. Subscription fees are payable annually in advance and are non-refundable.
2. Payment must be made via approved methods. Non-payment may result in suspension or termination of Services.
3. Dopamine reserves the right to adjust pricing at renewal, with notice prior to the renewal date.
4. Term and Termination
1. The term of this Agreement is 12 months from the Effective Date and automatically renews annually unless either party provides 30 days’ written notice prior to renewal.
2. Dopamine may terminate or suspend the Services immediately if:
• Non-payment occurs
• The Brand breaches this Agreement
• The Brand misuses the platform or violates applicable laws
• There are regulatory, WhatsApp, or third-party compliance issues
3. Upon termination:
• Platform access is revoked
• Unpaid fees become immediately due
• Customer data may be deleted after 30 days unless otherwise agreed
5. Intellectual Property
1. Dopamine retains all rights to the platform, systems, and branding.
2. Brand retains ownership of its trademarks, logos, and content uploaded to the platform.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary or sensitive information shared during the term of this Agreement.
7. Data and Privacy
1. Data Roles: Brand is the Data Controller. Dopamine is the Data Processor, processing data strictly on the Brand’s instructions.
2. Processing Purposes: Dopamine may access and process data to:
• Provide and improve Services
• Analyze performance metrics
• Train AI/LLM models for service enhancements
• Share anonymized or aggregated data with third parties for marketing or analytics purposes
3. Compliance: The Brand represents that all necessary consents from customers have been obtained. Dopamine implements reasonable technical and organizational measures to protect personal data. See our Privacy Policy for further details.
8. Indemnification
The Brand agrees to indemnify and hold Dopamine, its affiliates, and employees harmless from any claims, losses, liabilities, or expenses arising from:
1. Failure to fulfill rewards or obligations to customers
2. Violation of applicable laws, regulations, or third-party rights
3. Misuse of the platform, spam, or fraudulent activities
4. Customer disputes or complaints
9. Limitation of Liability and Disclaimer
1. To the maximum extent permitted by law, Dopamine is not liable for indirect, incidental, consequential, or punitive damages.
2. Total liability for any claim under this Agreement is limited to the annual subscription fee paid by the Brand.
3. Services are provided “as is.” Dopamine does not warrant uninterrupted or error-free operation.
10. End Customer Relationship
1. All customer interactions, rewards, redemptions, complaints, and disputes are exclusively between the Brand and its customers.
2. Dopamine is not responsible for any customer losses or dissatisfaction arising from your loyalty program.
11. Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including but not limited to natural disasters, governmental actions, telecommunication failures, WhatsApp or API disruptions, or acts of third-party service providers.
12. Acceptable Use
Brands shall not:
• Use the platform for illegal, fraudulent, or misleading activities
• Violate WhatsApp or platform policies
• Send spam or unsolicited messages through the platform
13. Governing Law and Jurisdiction
This Agreement is governed by UAE law. The courts of Dubai have exclusive jurisdiction over disputes arising under this Agreement.
14. Modifications
Dopamine may update these Terms. Material changes will apply to renewals or upon notice. Continued use constitutes acceptance. Brands may terminate without penalty if they do not accept changes.
15. Entire Agreement
This Agreement, along with the Privacy Policy and any related Addenda, constitutes the full agreement between the Brand and Dopamine, superseding all prior agreements or understandings.
