These Terms and Conditions (“Brand Terms”) govern the participation of businesses (“Partner Brands” or “you”) in the Dopamine Loyalty Program (“Program”) and the use of Dopamine’s software, APIs, or related services (“Software”). By signing up for the Program, integrating with our Software, or offering rewards to end users, you agree to be bound by these Brand Terms. If you do not agree, please do not participate in the Program or use the Software.

1. Acceptance of Brand Terms

By registering as a Partner Brand, integrating with the Program, or using the Software, you confirm that you have read, understood, and agree to these Brand Terms. Dopamine may update these Brand Terms from time to time, and continued participation after such updates constitutes your acceptance of the revised Brand Terms. The latest version is available at dopamine.app/brand-terms.

2. Eligibility

To participate as a Partner Brand, you must:

• Be a legally registered business entity in your jurisdiction.
• Have the authority to enter into these Brand Terms on behalf of your organization.
• Comply with all applicable laws, including UAE Federal Decree-Law No. 14 of 2023 on Trading by Modern Technological Means and UAE Federal Law No. 45 of 2021 on Personal Data Protection.

3. Program Participation

• Role: As a Partner Brand, you may offer rewards, discounts, or benefits (“Rewards”) to end users through the Program, integrated via WhatsApp or other channels provided by Dopamine.
• Integration: You agree to follow Dopamine’s technical guidelines for integrating with the Software, including APIs, QR codes, or WhatsApp Business API.
• Reward Obligations: You are responsible for providing accurate Reward details, ensuring availability, and honoring Rewards redeemed by end users in accordance with these Brand Terms and applicable consumer protection laws.

4. Fees and Payment

• Subscription or Fees: Participation in the Program may require payment of fees, subscriptions, or revenue-sharing, as outlined in a separate agreement or pricing schedule provided by Dopamine.
• Payment Terms: Payments must be made in accordance with the agreed schedule, in UAE Dirham or another currency specified by Dopamine. Late payments may incur penalties or suspension of access to the Program.
• Taxes: You are responsible for any taxes applicable to your participation, as per UAE and local tax laws.

5. Data Sharing and Compliance

• End-User Data: Dopamine may share anonymized or aggregated end-user data (e.g., purchase patterns) with you to facilitate Rewards or marketing. Identifiable end-user data will be shared only with explicit consent, as required by UAE Federal Law No. 45 of 2021 and international laws (e.g., GDPR, CCPA).
• Data Processing Agreement: If you process end-user personal data, you agree to enter into a Data Processing Agreement (DPA) with Dopamine, ensuring compliance with applicable data protection laws.
• Your Obligations: You must process end-user data lawfully, implement appropriate security measures, and notify Dopamine of any data breaches within 72 hours, as required by UAE and international regulations.

6. Promotional Messaging

• You may send promotional messages or offers to end users through the Program, subject to their explicit consent, as outlined in the Dopamine Privacy Policy (dopamine.app/privacy).
• You agree to comply with applicable marketing laws, including UAE Federal Law No. 15 of 2020 on Consumer Protection, GDPR, and CAN-SPAM, ensuring end users can opt out of messages.

7. Intellectual Property

• Dopamine’s IP: The Software, APIs, branding, and Program materials are owned by Dopamine or its licensors, protected under UAE Federal Law No. 38 of 2021 on Copyrights and Neighboring Rights. You are granted a non-exclusive, non-transferable license to use these for Program purposes only.
• Your IP: You grant Dopamine a non-exclusive, worldwide license to use your branding, logos, or Reward details for Program promotion, subject to your approval.
• Restrictions: You may not modify, reproduce, or distribute Dopamine’s IP without prior written consent.

8. Confidentiality

You agree to keep confidential any proprietary information provided by Dopamine, including Software details, end-user data, or business terms, and to use such information solely for Program purposes.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Program and Software are provided “as is” without warranties of any kind, express or implied.
• Dopamine is not liable for indirect, incidental, or consequential damages, including loss of profits, arising from your participation or use of the Software.
• Dopamine does not guarantee the availability or functionality of the Program or third-party services (e.g., WhatsApp).

10. Indemnity

You agree to indemnify and hold Dopamine harmless from any claims, losses, or damages arising from your breach of these Brand Terms, misuse of the Software, or violation of applicable laws, including data protection and consumer protection regulations.

11. Termination

• By Dopamine: We may terminate your participation at our discretion, with notice, for reasons including breach of these Brand Terms, non-payment, or violation of applicable laws.
• By You: You may terminate participation by providing 30 days’ written notice to info@getdopamine.io
• Post-Termination: Upon termination, you must cease using the Software, and Dopamine will delete any end-user data shared with you, subject to legal retention requirements.

12. Governing Law and Dispute Resolution

These Brand Terms are governed by the laws of Sharjah, United Arab Emirates, without regard to conflict of law principles, except where local laws mandate otherwise. Disputes will be resolved through arbitration in Sharjah, UAE, under the rules of the Sharjah International Commercial Arbitration Centre, unless local laws require a different venue.

13. Compliance with Local Laws

You agree to comply with all applicable local laws in the jurisdictions where you operate, including consumer protection, data protection, and e-commerce regulations. Dopamine will cooperate to ensure compliance with mandatory local laws.
